An exciting opportunity has arisen in our Dublin office for an accomplished Transaction Manager (Legal, Company Secretarial & Compliance). This role requires a deep understanding of corporate services, transaction management, corporate governance and regulatory environments. This role is a great opportunity to work in a dynamic environment for a leading international corporate services provider headquartered in Dublin, with offices in West of Ireland, Luxembourg and the UK.

The successful candidate will be responsible for managing a variety of corporate transactions and corporate governance tasks, ensuring regulatory compliance, and providing a high-level service for a large portfolio of clients. Our client base consists of special purpose vehicles involved in a wide range of activities including aircraft leasing and structured finance transactions, as well as companies in such industries as manufacturing and retail, pharmaceutical and bio-sciences and software development among others.
Responsibilities
  • You will have responsibility for managing the delivery of transaction services, while building strong relationships to a varied portfolio of clients.
  • Collaborate with individuals and teams in Cafico International, including but not limited to, the Financial Services team and directors of Cafico International, to achieve client objectives.
  • Provide expertise and guidance in relation to capital markets transactions, acting as a point of escalation both for clients and within Cafico International.
  • Acting as an Irish resident director for special purpose vehicle (“SPV”) mandates.
  • Performance of corporate secretarial tasks both internally and across our client portfolio. 
  • Ensure Cafico International meets our obligations to clients, ensuring that all tasks required to effectively close a transaction, update statutory registers, complete filings with the Companies Registration Office or prepare materials for scheduled board meetings within required timelines are completed efficiently, professionally and to the agreed deadlines.
  • Managing the setting up of SPVs/client companies for structured finance, aviation leasing and global restructuring transactions among others.
  • Assist the Compliance function with the onboarding and ongoing due diligence process in respect of client companies.
  • Ensure that ethical standards and human rights principles are upheld across all areas of responsibility.
  • Reviewing and executing legal agreements associated with structured finance, aviation leasing and global restructuring transactions from the perspective of the SPVs/client companies.
  • Ensure all transactions comply with relevant laws, regulations, and company policies.
  • Liaising with external parties, such as legal and tax advisors, investment managers, trustees and agency groups, arranging banks and others to achieve client objectives.
  • Adhere to Cafico International’s internal policies and procedures and ensure compliance with Cafico International’s risk and control framework and processes.
  • Assist with key projects to align day to day tasks with new regulatory requirements from the initiation and planning stages through execution and completion
Requirements
  • A degree in law, business, finance or a closely related field is essential. 
  • 2-3 years of work experience in a financial services environment.
  • Experience working with or within a corporate secretarial function or team.
  • Proven track record of successfully managing complex corporate transactions.
  • Strong understanding of corporate services, transaction management, and regulatory compliance.
  • Highly proactive, able to work autonomously, make decisions and use own initiative and judgment.
  • Fluency in English is an essential requirement for this role.
